1. Our Services
We provide website development, SEO, paid advertising management (Google & Meta Ads), and social media marketing services to businesses, as described on our Services page. The exact scope, deliverables, and pricing for any engagement are confirmed separately in a proposal, quote, or agreement before work begins.
2. Client Responsibilities
- Provide accurate information, content, and access (e.g. domain, hosting, ad accounts) needed to deliver the agreed service
- Respond to requests for approvals, content, or feedback in a timely manner — delays on your side may extend project timelines
- Ensure any content, images, or materials you provide to us do not infringe on third-party rights
3. Payment Terms
Website development projects typically require a 50% advance before work begins, with the balance due before final handover, as detailed in our Refund & Cancellation Policy. Monthly services (SEO, Ads, Social Media Marketing) are billed in advance for each billing cycle. Specific payment terms for your engagement will be confirmed in your proposal or invoice.
4. Intellectual Property
Once a project is paid for in full, ownership of the final delivered website design and custom code transfers to you, except for any third-party themes, plugins, stock assets, or licensed tools used in the build, which remain subject to their own licenses. We retain the right to showcase completed work in our portfolio unless you request otherwise in writing.
5. Advertising & Marketing Performance
While we manage SEO and ad campaigns using industry best practices, we cannot guarantee specific rankings, traffic, lead volumes, or return on ad spend, as these depend on factors outside our control (search engine algorithm changes, market competition, your industry, budget, and more). We report performance transparently and adjust strategy based on results.
6. Confidentiality
We treat information you share with us about your business as confidential and will not disclose it to third parties except as needed to deliver the agreed services (e.g. to ad platforms for campaign setup) or as required by law.
7. Limitation of Liability
To the extent permitted by law, Decent Online's liability for any claim arising from our services is limited to the amount paid by you for the specific service giving rise to the claim. We are not liable for indirect, incidental, or consequential losses, including lost profits or business opportunities.
8. Termination
Either party may end a monthly service engagement with 15 days' written notice, as described in our Refund & Cancellation Policy. We reserve the right to suspend or end services if payment is significantly overdue.
9. Governing Law
These terms are governed by the laws of India. Any disputes will be subject to the exclusive jurisdiction of the courts having jurisdiction over our registered place of business.

We may update these Terms & Conditions from time to time. Continued use of our website or services after changes are posted means you accept the updated terms.
